Terms and Conditions

By registering for an ARISTA course, the school accepts and agrees to comply with the following Terms and Conditions. These Terms and Conditions apply to all registrations, attendance, payments, cancellations, training materials, recordings, and related services provided by ARISTA. These terms are governed by the laws of the Republic of South Africa, and any dispute arising in connection with them shall be subject to the non-exclusive jurisdiction of the competent South African courts.

For the purposes of these terms, “school” means the institution making the registration and assuming payment responsibility; “delegate” means any individual attending the course on behalf of the school; and “course” means any training session, in-person or virtual, offered by ARISTA.

1. Nature of the agreement and liability

The contractual agreement is entered into between ARISTA and the school. The agreement is not between ARISTA and the individual delegate with respect to payment matters, unless ARISTA expressly agrees otherwise in writing. However, by attending the course, each individual delegate personally undertakes to comply with the conduct rules, platform usage rules, and intellectual property protections set out in these Terms and Conditions.

If an individual delegate wishes to attend and pay in a personal capacity, payment must be arranged through the school, and the school will remain responsible for payment to ARISTA, unless ARISTA agrees otherwise in writing.

Upon registration for a course, the school becomes liable for payment of the course fee, unless the registration is cancelled in accordance with the cancellation requirements set out below. The school is responsible for ensuring that all registered delegates are aware of and comply with these Terms and Conditions.

ARISTA will not be liable for a delegate’s failure to attend due to circumstances reasonably outside its control, including but not limited to internet connectivity issues, device failure, loadshedding, incorrect email details, inability to download or access any third-party conference platform used by ARISTA, or failure to follow the joining instructions.

Where a delegate is affected by loadshedding and is unable to attend, they must notify ARISTA in writing. ARISTA will make reasonable efforts to offer alternatives or assist with rescheduling, subject to availability.

2. Force majeure

Neither party shall be liable to the other for failure or delay in performing its obligations resulting from circumstances reasonably beyond its control, including natural disasters, widespread power or telecommunications outages, pandemics, civil unrest, or third-party platform failures. The affected party shall notify the other as soon as reasonably possible, and both parties shall make reasonable efforts to reschedule the affected course.

3. Price per delegate attending

The price quoted is per delegate attending, unless ARISTA states otherwise in writing.

Each delegate attending the course must be registered and paid for. One payment may not be used to allow multiple unregistered persons to attend the course.

The practice of registering and paying for one delegate while allowing several people to attend is not permitted. In such cases, ARISTA reserves the right to additionally invoice for each unregistered person who attended, in addition to refusing access, removing delegates from the course, blocking future registrations, and/or taking any other action it deems appropriate.

ARISTA may use any third-party conference platform to verify attendance, delegate names, and attendance duration.

4. Cancellations and no-shows

Cancellations must be made in writing at least 72 hours before the day of the course, sent by email to bookings@arista.co.za or via ARISTA’s official platform.

Cancellations made at least 72 hours in advance will incur no charge. Cancellations are not possible within 72 hours of the course start time. No refund or credit will be given to delegates who do not attend without prior written cancellation. No-shows on the day of the course will be charged at 100% of the course fee.

Substitute delegates are welcome, provided ARISTA is notified in writing of the substitute delegate’s name before the course begins.

5. Payment

An invoice will be sent to the school once the registration has been processed. Payment must be made within 7 days of the invoice date, or before the start of the course, whichever occurs first, unless another period is agreed in writing.

Banking details will appear at the bottom of the invoice. These details have not changed. The invoice number must be used as the payment reference. Proof of payment must be emailed to office@arista.co.za

In the event of late payment, ARISTA may suspend the delegate’s access to the course until payment is settled, and may apply reasonable late-payment interest in accordance with applicable law. The school remains responsible for ensuring that payment is made within the stipulated period.

6. Right of admission

ARISTA reserves the right of admission to all courses. Access may be denied or revoked where a delegate is not registered, shares the course link with another person, attends under another delegate’s name, fails to comply with these Terms and Conditions, behaves inappropriately or disruptively, attempts to record, copy, or distribute course content without authorization, refuses to switch on their camera without prior arrangement, or attempts to enter the course through a means other than the official platform used by ARISTA.

7. Course changes, postponements, and cancellations

ARISTA reserves the right to cancel, postpone, reschedule, or alter course dates, times, presenters, or content when necessary. Where a course is postponed or rescheduled, registered delegates will be informed and reasonable arrangements will be made, including the option to transfer the registration to a new date or request a refund where ARISTA is the party responsible for the cancellation.

8. Course link

ARISTA will send the course link to the registered delegate, usually on the morning of the course. The link is issued to the registered delegate only and may not be shared, forwarded, or used by any other person.

9. Technical requirements

Delegates are responsible for having a stable internet connection, a working device, access to ARISTA’s platform, access to the email address used for registration, a working camera (unless prior arrangements have been made with ARISTA), and for having tested their system before the course begins.

10. On the day of the course

Delegates must test their system at least 30 minutes before the allocated starting time. If unable to connect, they must immediately contact ARISTA’s technical support line via the number or channel indicated in the registration confirmation, before the course begins, as assistance may not be available once the session has started.

Where possible, delegates must adhere to the times provided. The meeting may be locked after the starting time. If running late, a message should be sent to the support channel designated by ARISTA.

11. Technical assistance

ARISTA will make reasonable efforts to assist delegates with access difficulties before the course begins. However, ARISTA will not be liable where a delegate is unable to attend due to technical issues, including but not limited to internet problems, device failure, incorrect login procedures, failure to check emails, or late attempts to join.

12. Camera requirement

All cameras must be switched on during the course, unless prior arrangements have been made with ARISTA. As this is a training session, interaction and participation are important, and ARISTA must be able to identify attending delegates and verify their active participation. If a delegate does not have a working camera, they must notify ARISTA before the course; failure to do so may result in the delegate being removed from or blocked from the course.

13. Recordings and screenshots

Delegates are not permitted to record the course, take screenshots, photograph the screen, copy the presentation, or distribute any course content without prior written permission from ARISTA. ARISTA reserves the right to take action against any person or school that unlawfully records, copies, shares, or distributes course content, presentations, recordings, notes, or other training material.

Depending on the presentation and at ARISTA’s discretion, a recording may be made available to delegates afterward; this is not guaranteed. By attending the course, the delegate consents to ARISTA recording the session for quality control, attendance verification, and training improvement purposes, in accordance with POPIA.

14. Training materials and notes, and intellectual property

PDF notes and/or other training materials may be sent to delegates after the course, where applicable. All training notes, slides, handouts, recordings, and materials, as well as all content, trademarks, patents, and copyrights related to ARISTA and its platform, are and shall remain the exclusive intellectual property of ARISTA, unless otherwise stated.

The school and its registered delegates are granted a limited, non-exclusive, non-transferable license to use such materials solely for personal training purposes. Materials may not be forwarded, copied, sold, distributed, or shared with other schools, organizations, or individuals without ARISTA’s prior written consent. Any unauthorized use, modification, or distribution of the material is strictly prohibited.

In accordance with POPIA and confidentiality requirements, delegates and schools may not share personal information, attendance records, training materials, or course content without proper authorization.

15. Certificates

Delegates who attended the course will receive a digital certificate of attendance. ARISTA may use any third-party conference platform to verify attendance before issuing a certificate.

16. Conduct during courses

Delegates are expected to behave professionally and respectfully during all courses. ARISTA reserves the right to remove any delegate who behaves in a disruptive, abusive, inappropriate, or unprofessional manner, and delegates must not interfere with the course, the presenter, the host, or other participants.

17. Protection of personal information

By registering for a course, the school and delegate acknowledge that ARISTA will process the personal information required for registration, communication, invoicing, attendance tracking, certificate issuance, and the provision of training services, in accordance with the legal bases provided under POPIA, including consent, contractual necessity, and ARISTA’s legitimate interest in course administration.

Personal information may include names, email addresses, school details, SACE numbers attendance information, and participation data recorded by third-party conference platforms. ARISTA will take reasonable steps to protect personal information, will use it only for legitimate business, training, and administrative purposes, and will not retain it for longer than necessary for those purposes.

18. Username and password policy

Users are responsible for maintaining the confidentiality of their login credentials for ARISTA’s platform. Unauthorized use or loss of login credentials must be reported immediately to support@arista.co.za.

19. General provisions

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a competent court, that provision shall be severed from the rest, which shall continue in full force and effect. These Terms and Conditions constitute the entire agreement between the parties regarding the subject matter herein and supersede any prior agreement or understanding, unless a variation is agreed in writing. ARISTA may amend these Terms and Conditions at any time; the current version published on ARISTA’s website or platform shall apply from its publication date.

20. Acceptance of terms

By registering for an ARISTA course, the school and its delegates confirm that they have read, understood, and accepted these Terms and Conditions. The school is responsible for ensuring that all registered delegates comply with these Terms and Conditions.
